PEACHNon-Exclusive Beat License Terms

1. Parties
"Producer": PeachBeat. "Artist": the buyer named on the order receipt. "Beat": the instrumental purchased, identified by title and order ID.
2. Nature of license
This license is non-exclusive and non-transferable. Producer retains all rights in the Beat and may continue to license it to others.

All delivered files are untagged and rendered from the same master. Stems are not provided.
3b. Promotions & free downloads
Promotions (Buy 2 Get 1, Buy 3 Get 2, 10 Basic bundle, free Basic with Premium, coupons) grant the same license as the tier received. Upgrades are priced at the difference between tiers. Beats marked FREE are a tagged MP3 for non-profit use only (no streaming platforms, no monetization), credit "Prod. by PeachBeat" required.
4. Permitted use
- Record vocals over the Beat to create one (1) new song.
- Distribute that song on streaming platforms (Spotify, Apple Music, YouTube, TikTok, etc.) within your tier's stream/show limits (sales and monetized videos are unlimited).
- Edit, cut, re-arrange or change tempo to fit the song.
5. Restrictions
- No resale, sublicensing, or distribution of the Beat as an instrumental.
- No registration of the Beat or the song with YouTube Content ID or any audio fingerprinting system.
- No claiming authorship of, or registering copyright in, the Beat.
- No use in ads, film, TV, or games without a separate agreement.
- No transfer of this license.
6. Credit
All releases must credit "Prod. by PeachBeat" in the title or description.
7. Term
Valid for [5 years / perpetually] from purchase, or until tier limits are exceeded, at which point the Artist must upgrade.
8. Ownership
Producer owns the Beat. Artist owns the lyrics and vocal melodies Artist wrote.
9. AI-assisted disclosure
Beats are created with the assistance of AI tools (Suno, under a paid commercial plan). Producer does not guarantee that the Beat is unique or eligible for copyright registration, and similar works generated by others may exist.
10. Limitation of liability
Producer is not liable for claims arising from Artist's lyrics or compositions. Producer's total liability is capped at the price paid for the license.
11. Termination
Breach of these terms automatically terminates the license without refund.
12. Governing law
Governed by the laws of [Vietnam]. Parties will first seek to resolve disputes amicably.
13. Payment & delivery
Orders are processed by Lemon Squeezy, acting as Merchant of Record, which collects applicable sales tax/VAT and delivers files.
